These Terms of Use (the “Terms”) are a binding agreement between NOVA Labs (“NOVA,” “we,” or “us”), a company incorporated in India, and you. They govern your use of NOVA's website, the NOVA products (the NOVA Excel add-in, the NOVA web app, and NOVA Eyesight, our desktop app for Mac and PC), and our hosted services (together, the “Service”). By using the Service, you agree to these Terms and to our Privacy Policy.
We may update these Terms from time to time. We will post material changes and update the date above. Your continued use after changes take effect means you accept them.
You agree not to use the Service to:
Violation is grounds for suspension or termination of your access.
NOVA Labs and its licensors own all intellectual-property rights in the Service. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. Rights in the App, your inputs, and AI-generated output are addressed in the EULA.
Our handling of personal data is described in our Privacy Policy. The Service is a business tool and is not intended for children under 16 (or the minimum age required in your jurisdiction), and we do not knowingly collect their personal information.
The Service is provided “as is” and “as available,” and you use it at your own risk. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure. You may have additional consumer rights under local law that these Terms cannot change.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you have paid us for the Service. This does not limit liability for fraud or willful misconduct, or any liability that cannot be limited under applicable law.
If you use the Service directly from us, these Terms are governed by the laws of India. Any dispute will be finally resolved by arbitration seated in Mumbai, India, under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, in English; the courts at Mumbai have exclusive jurisdiction, including for interim relief. If you obtained the Service or App through the Microsoft Marketplace, Office Store, or a separate enterprise agreement, the terms of that agreement govern instead.
These Terms, together with the EULA and Privacy Policy, are the entire agreement between you and NOVA regarding the Service and supersede prior agreements on the subject. You may not assign them without our consent; we may assign them in connection with a merger, acquisition, or transfer of assets. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. There are no third-party beneficiaries.
